Question 01
What is a corporate minute book?

A corporate minute book is the official record of your corporation's legal and governance documents, including the articles of incorporation, bylaws, shareholder register, director register, and all resolutions and consents. It is required under the BC Business Corporations Act and must be kept current.

Question 02
Is my corporation required to maintain a minute book?

Yes. All BC corporations are legally required to maintain a current minute book under the Business Corporations Act. Failure to do so can create problems when selling the business, obtaining financing, or responding to a CRA review. An outdated minute book is one of the most common issues we see.

Question 03
What happens if my minute book is out of date?

An outdated minute book can delay or derail a business sale, financing, or legal transaction. Lawyers and accountants typically review the minute book during due diligence, and gaps need to be resolved before closing. We can bring your records fully current regardless of how long they've been neglected.

Question 04
How much does it cost to update a minute book?

Cost depends on how far out of date the records are and the complexity of the corporation. We provide a clear fixed-fee quote after a brief review. Ongoing annual maintenance is typically a modest flat fee that keeps your records current year over year.

Question 05
Do you work with my lawyer?

Yes. We work alongside your corporate lawyer regularly, particularly on share transactions, reorganizations, and legal filings. We prepare the corporate records and supporting documentation so your lawyer can focus on the legal work, which often reduces your overall legal costs.

Question 06
What is a shareholder register and why does it matter?

A shareholder register is the official record of who owns shares in your corporation, how many, and of what class. It must be kept current and is required for CRA reviews, business sales, and financing. Errors or omissions in the register can create significant legal and tax complications.

Question 07
Can you help with a share transfer or reorganization?

Yes. We prepare the corporate documentation for share transfers, share redemptions, and reorganizations, including the required resolutions, share certificates, and register updates. We coordinate with your legal and tax advisors to ensure the transaction is properly documented from all angles.

Question 08
How often should a minute book be updated?

At minimum, once a year to capture annual resolutions, officer and director changes, and any significant corporate decisions. Any share transaction, ownership change, or major business event should also be documented promptly. We offer annual maintenance packages to keep your records current year over year.
